Six banks to arrange USD1.4bn loan to Level 3 Communications - report

30 July 2012 - JPMorgan Chase (NYSE:JPM), Bank of America Corp (NYSE:BAC), Citigroup (NYSE:C), Morgan Stanley (NYSE:MS), Credit Suisse (NYSE:CS) and Deutsche Bank (ETR:DBK) are reportedly serving as arrangers for a loan of some USD1.4bn (EUR1.1bn) to US integrated communication services provider Level 3 Communications Inc (NYSE:LVLT), Bloomberg said on Monday, citing two sources. The money will be provided in two batches, namely a tranche worth a minimum USD300m with a lifetime of three and a half years and a USD1.1bn portion due in August 2019, the people said on condition of anonymity. The Broomfield, Colorado-based company will use the loan to redeem a USD1.4bn senior secured term facility falling due in March 2014. Level 3 Communications, which reported last week second-quarter net loss of USD62m, below the USD138m negative result recorded in the year-earlier period, obtained in March 2007 a USD1.4bn to meet its debt refinancing needs. The facility came with an interest of 2.25% above Libor, Bloomberg data shows.

M Stanley, Citi, Goldman to lead CKE's IPO

30 July 2012 - Morgan Stanley (NYSE:MS), Citigroup (NYSE:C) and Goldman Sachs (NYSE:MS) are leading the group of underwriters for the initial public offering (IPO) of US company CKE Inc, the fast-food restaurant operator and franchisor said on Monday. Barclays (LON:BARC), Credit Suisse (NYSE:CS) and RBC Capital Markets are helping in the capacity of joint book-running managers for the listing, while Apollo Global Securities, Cowen and Company and KeyBanc Capital Markets are serving as co-managers. CKE expects to issue some 13.3m shares at a price of USD14-USD16 (EUR11.4-EUR13) apiece. Half of the shares will be sold by the company itself, while the remainder will be placed by its owner, Apollo CKE Holdings LP. The company will grant the underwriters a 30-day option to buy up to a further 2m shares from the selling shareholder. CKE noted it would not get any proceeds from the shares sold by Apollo CKE Holdings. The company, which plans to float on the New York bourse under the CK symbol, will use a portion of the IPO proceeds to repay USD82.1m of its 11.375% senior secured second lien notes, which mature in 2018. Another part will go in support of its general corporate purposes, CKE said.
